Desa Digit LLC — Private Scheduled Ride Passenger Agreement
Binding Transportation Contract (Read-Only Copy)
By booking, paying for, signing, or entering a vehicle operated under Desa Digit LLC, the Passenger agrees to the terms below.
Parties
This Passenger Transportation Agreement (“Agreement”) is entered into between Desa Digit LLC, a Washington Limited Liability Company (“Company”), and the individual booking, purchasing, or receiving transportation services (“Passenger”).
1. Nature of Service
Desa Digit LLC provides pre-arranged, private transportation services within Washington State under a private contractual relationship. The Company is not a public transit provider, taxi company, emergency service, or medical transport provider.
2. Assumption of Risk
Passenger acknowledges that motor vehicle travel involves inherent risks including but not limited to:
- Traffic collisions
- Third-party driver negligence
- Road hazards
- Weather conditions
- Mechanical malfunction
- Sudden braking or evasive maneuvers
Passenger voluntarily assumes all ordinary and foreseeable risks associated with vehicle transportation.
3. Accident & Liability Limitation
To the fullest extent permitted under Washington law, Desa Digit LLC, its members, managers, employees, contractors, and agents shall not be liable for:
- Injuries caused by third-party drivers
- Unavoidable traffic accidents
- Road or weather hazards
- Events beyond the reasonable control of the Company
In the event of an accident, any recovery shall be limited to the applicable automobile insurance policy maintained by Desa Digit LLC.
Company shall not be liable for indirect, incidental, special, or consequential damages including but not limited to emotional distress, lost income, or missed business opportunities, except where prohibited by law.
Nothing in this Agreement limits liability for gross negligence, reckless conduct, or intentional misconduct, as such waivers are unenforceable under Washington law.
4. Passenger Responsibilities
Passenger agrees to:
- Wear a seatbelt at all times
- Follow all driver instructions
- Refrain from distracting the driver
- Avoid illegal substances or weapons
- Conduct themselves safely and respectfully
Passenger accepts financial responsibility for damage to the vehicle, cleaning fees, and costs arising from unsafe or unlawful conduct. Company reserves the right to terminate service immediately if safety is compromised.
5. Indemnification
Passenger agrees to indemnify, defend, and hold harmless Desa Digit LLC and Matthew Ralston from any claims, damages, liabilities, or expenses arising from Passenger negligence, misconduct, violation of this Agreement, or third-party claims resulting from Passenger actions. This obligation survives completion of the ride.
6. No Guarantee of Arrival Time
Arrival times are estimates only. Company is not responsible for delays caused by traffic congestion, weather conditions, road construction, mechanical issues, or unforeseen circumstances. Company is not liable for missed flights, appointments, or scheduled events.
7. Personal Property
Desa Digit LLC is not responsible for lost, stolen, or forgotten items left in the vehicle.
8. Dispute Resolution
Any dispute arising from this Agreement shall be governed by the laws of the State of Washington and resolved exclusively through binding arbitration conducted in Thurston County, Washington. Passenger waives the right to jury trial and participation in class action lawsuits.
9. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
10. Acknowledgment & Acceptance
Passenger acknowledges that by booking a ride, clicking acceptance online, signing, or entering the vehicle, they have read, understood, and voluntarily agreed to this legally binding Agreement.
